Welcome to FarmersMarket.store (the Platform), operated by The Farmers Market, LLC (FarmersMarket.store, we, our, us). By accessing or using the Platform, you agree to these Terms and Conditions (Terms). If you do not agree, do not use the Platform.
These Terms apply to all users, including customers and vendors.
1. Definitions
Platform means FarmersMarket.store and any related web or mobile experiences, tools, and services we provide.
Customer means a person or business that places an order through the Platform.
Vendor means an independent producer, maker, farm, ranch, or other seller listing items through the Platform.
Harvest Box means our curated subscription or one time program that allows customers to select items from participating vendors.
2. Overview of the Platform and our role
The Platform is an online marketplace that connects vendors and customers. We provide product discovery, ordering tools, payment facilitation, customer support, and delivery coordination.
Unless we clearly state otherwise for a specific item, vendors are independent sellers. We do not operate as a traditional grocery retailer for vendor provided items.
Certain items may be available for business purchase only where lawful and only for vendors that are legally permitted to sell through that channel. Products that are limited by law to direct to consumer sales are not eligible for resale.
3. Eligibility
You must be at least 18 years old and able to form a legally binding contract to use the Platform. By using the Platform, you represent that you meet these requirements.
4. Accounts and security
You agree to provide accurate and current information and to keep your account information updated. You are responsible for activity under your account and for keeping your password secure. Notify us immediately of any unauthorized use.
We may suspend or terminate accounts for violations of these Terms, suspected fraud, or platform security concerns.
5. Relationship of parties and limited agency
Vendors are independent businesses and are not our employees.
Limited agency may apply for checkout, payment collection, and delivery coordination. Vendors may authorize us on a limited basis to facilitate orders, collect payments on their behalf, provide customer support, and coordinate delivery. This limited authorization does not create an employment relationship or a general agency for any other purpose.
6. Vendor listings and vendor obligations
Vendors are responsible for the accuracy of listings, inventory availability, fulfillment, and product quality.
Vendors must comply with all applicable laws and regulations, including food safety rules, labeling rules, licensing rules, inspection rules, and any product specific restrictions.
We may remove or suspend listings that violate these Terms, violate the law, or present safety concerns.
7. Seller of record
Unless the listing clearly states that The Farmers Market, LLC is the seller of record, the vendor is the seller of record for vendor listed products. Customer purchases of vendor listed products are transactions between the customer and the vendor. We facilitate ordering, payment collection on behalf of vendors, and delivery coordination.
8. Payments, fees, and payouts
8.1 Payment processing
Payments are processed through Stripe. Vendors that sell through the Platform must comply with Stripe requirements and any applicable Stripe agreements.
8.2 Fees
We may charge customers and vendors fees that are disclosed at checkout, in vendor onboarding materials, or in vendor settings. Fees can include marketplace service fees, payment processing pass through fees, delivery fees, and payout related fees.
8.3 Payouts to vendors
When we collect funds on behalf of a vendor, we remit vendor proceeds according to the payout schedule described in vendor settings or vendor onboarding materials. We may delay payouts where necessary to address disputes, chargebacks, fraud, refunds, or compliance concerns.
8.4 Refunds and chargebacks
Refund handling is described in our Refund and Return Policy, which is incorporated into these Terms. Chargebacks and processor fees may be deducted from vendor payouts as permitted by the payment processor and applicable agreements.
9. Ordering and delivery
9.1 Multi vendor orders
Orders may include items from multiple vendors.
9.2 Delivery coordination
When delivery is available, delivery may be performed by independent third party delivery providers or other delivery partners. Delivery times are estimates.
9.3 Risk of loss and responsibility at delivery
Responsibility for an order transfers to the customer upon delivery to the address or pickup location the customer provided, or upon the order being made available at the agreed pickup location.
Customers are responsible for providing accurate delivery instructions and promptly receiving perishable items.
9.4 Perishable foods and safe handling
Many items are perishable. Customers must promptly refrigerate or freeze items as appropriate and follow safe handling practices. We are not responsible for quality or safety issues caused by failure to promptly receive an order or improper storage or handling after delivery.
10. Cancellations, returns, and refunds
Refunds and credits are governed by our Refund and Return Policy, which is part of these Terms. Some items, especially perishable items, may not be eligible for return.
11. Product information, allergens, and dietary needs
Vendors are responsible for ingredient statements, allergen disclosures, and product descriptions where required or provided. Customers with allergies or dietary restrictions are responsible for reviewing product information and contacting us before purchase if confirmation is needed.
12. Compliance focus areas for Colorado vendors
This section is a summary and does not replace legal requirements. Vendors must follow all applicable federal, state, and local requirements.
12.1 Retail food rules where applicable
Vendors operating as retail food establishments in Colorado must comply with the current Colorado Retail Food Establishment Rules and any local health department requirements.
12.2 Temperature control and packaging
Vendors must maintain proper temperature control for time and temperature control for safety foods and must package items to prevent contamination and tampering. Raw animal foods must be separated from ready to eat foods to prevent cross contamination.
12.3 Third party delivery consent where applicable
Where Colorado law requires a retail food establishment to consent to third party delivery, a vendor using Platform delivery options provides that consent for deliveries arranged through the Platform.
12.4 Cottage foods
Cottage food vendors may list only products permitted under Colorado cottage foods rules and must meet labeling and training requirements. Cottage foods must be sold directly to an informed end consumer by the producer or the producer’s designated representative as applicable.
12.5 Exempt poultry
If exempt poultry products are offered, they are sold only where lawful and only for direct to consumer purchase by individuals. Exempt poultry is not intended for resale and must be labeled and handled as required by law. If you purchase exempt poultry, you agree to read and follow the package label safe handling instructions.
13. Harvest Box Terms
13.1 What Harvest Box is
Harvest Box is a curated local food program offered through the Platform. We provide the experience to build a box, coordinate participating vendors, process payments, and coordinate delivery or pickup.
13.2 Seller of record for Harvest Box items
Unless we clearly state otherwise for a specific item, each item included in a Harvest Box is sold by the vendor that produced it and is identified in your order records as the seller of record. We act as a curation, payment facilitation, coordination, and delivery service for Harvest Box.
13.3 Payment and allocation
When you purchase a Harvest Box, you pay for the Harvest Box program and the items you select. We may collect payment on behalf of participating vendors and then remit to vendors their share based on your final saved selections. We retain service fees disclosed in the Platform for platform operations, curation, customer support, packing coordination, and delivery.
13.4 Selection cutoffs and defaults
Weekly selection deadlines are shown in your Harvest Box dashboard or communications. If you do not save updated selections by the deadline, your box may be packed using your most recent saved selections or program defaults as shown in your dashboard for that week.
13.5 Substitutions and availability
Local supply is seasonal and may change quickly. If an item becomes unavailable, we may substitute with a comparable item of similar value and quality when permitted by your Harvest Box settings or program rules shown in your dashboard.
13.6 Subscription billing authorization
If you enroll in a Harvest Box subscription, you authorize recurring charges to your payment method until you cancel under the cancellation rules shown in your account. Subscription charges may occur even if you do not update selections for a given week, subject to selection cutoffs and default selection rules.
13.7 Exempt poultry within Harvest Box
If your Harvest Box contains exempt poultry, those items are sold directly to you by the producer listed as the seller of record. We act as an authorized agent for ordering and delivery support. Exempt poultry is not intended for resale. You must follow the package label safe handling instructions.
14. Prohibited activities
You agree not to:
- use the Platform for unlawful transactions or unlawful goods
- post false, misleading, or defamatory content
- infringe third party intellectual property rights
- circumvent fees or payment flows
- interfere with Platform security, stability, or functionality
15. Intellectual property
Platform content, including logos, text, graphics, and code, is owned by The Farmers Market, LLC or its licensors. You may not use it without written permission.
Vendors retain rights to their own brand assets and content, and grant us a non exclusive, royalty free license to display that content on the Platform and in marketing for the purpose of promoting listings and the marketplace.
16. Privacy
Your use of the Platform is also governed by our Privacy Policy.
17. Disclaimers
The Platform is provided as is and as available. We do not guarantee uninterrupted service or that products will meet expectations beyond what is stated in the listing and our Refund and Return Policy.
18. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages. Our total liability for any claim related to the Platform will not exceed the greater of:
- the amount paid by the user to us in the 12 months preceding the event giving rise to the claim, or
- 100 USD
19. Indemnification
You agree to indemnify and hold harmless The Farmers Market, LLC and its affiliates, officers, directors, and employees from claims, losses, and expenses, including reasonable attorney fees, arising from your breach of these Terms, violation of law, or infringement of third party rights.
20. Dispute resolution, arbitration, and governing law
These Terms are governed by Colorado law, without regard to conflict of law rules.
Before filing a claim, the parties agree to attempt good faith resolution by written notice and discussion.
If not resolved, disputes will be submitted to binding arbitration in Grand Junction, Colorado, under the rules of the American Arbitration Association. Either party may seek injunctive relief in a court of competent jurisdiction for intellectual property protection or data security issues.
21. Changes to these Terms
We may update these Terms at any time. Changes are effective when posted. Material changes may be communicated by email or within the Platform. Continued use of the Platform after changes means you accept the updated Terms.
22. Termination
We may suspend or terminate access for violations of these Terms, suspected fraud, or compliance concerns. Sections that by their nature should survive will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.
